Physicians, dentists and other health care professionals face unique legal challenges in operating their practices, whether as individuals or in professional associations, partnerships, or corporations.  Our attorneys have extensive experience in assisting healthcare providers in navigating these challenges. 

We have substantial experience representing physician practice groups, large and small, and have worked with a number of professional associations to disentangle them from hospitals and other entities. In fact, when necessary, we litigate the issues. For example, our firm represented as lead counsel a group of certified registered nurse anesthetists (CRNAs), along with the referring lawyer, against a hospital which had excluded the CRNA's from their practice at the hospital due to an exclusive provider contract. At a temporary injunction hearing against the hospital, together we demonstrated that the hospital had acted in an anti-competitive manner in granting the contract, and that the anesthesiologists to whom the contract had been awarded lacked experience and had caused patient injuries. The trial judge found hospital antitrust violations and granted a temporary injunction. He determined that implementation of the contract posed a risk to public safety.

Our firm's services include forming new groups, assisting groups in drafting compensation and severance policies, and addressing governance issues. In connection with our representation of physician groups we negotiate and draft employment agreements, stock transfer restriction agreements, bylaws and operating agreements.  We also have experience in negotiating and facilitating professional association buyouts and dissolutions.  

We advise clients on reimbursement issues, Stark and Anti-kickback analysis of joint venture opportunities, and methods of expanding their business to include ancillary revenue within the confines of the Stark and Anti-kickback laws.  Further, we assist in responding to and resolving Texas Medical Board and hospital disciplinary or peer review complaints and investigations.
